1. Introduction

LocalBee (“we,” “us,” or “our”) provides an online platform that connects mentors and mentees. Our platform allows mentees to access expert guidance across various fields and enables mentors to share their expertise. These Terms govern your use of our platform, services, and any associated content.

2. Definitions

• • Platform: The LocalBee LLC website, mobile application, and any related tools or services provided by LocalBee LLC.
• • User: Anyone who accesses or uses the platform, including both mentors and mentees.
• • Mentor: An individual offering mentorship services via the LocalBee LLC platform.
• • Mentee: An individual seeking mentorship services through the platform.
• • Content: Any information, text, graphics, photos, audio, video, and other materials provided or available through the platform.

3. Account Registration and Security

To use certain features of the platform, you must register for an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration.
• Keep your account login details confidential.
• Immediately notify us of any unauthorized use of your account.

You are responsible for all activities that occur under your account. LocalBee LLC is not liable for any losses or damages arising from your failure to safeguard your account.

4. Eligibility

By using the platform, you confirm that you are:

• At least 18 years old.
• Able to form legally binding contracts.
• Complying with all applicable laws and regulations in your use of the platform.

If you are under 18 or not legally permitted to use the platform, you may not access our services.

5. User Conduct

When using the platform, you agree to:

• Use the platform only for lawful purposes.
• Avoid posting, sharing, or distributing any content that is illegal, harmful, or violates the rights of others.
• Refrain from disrupting or interfering with the platform, its servers, or any associated networks.
• Not impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.

Failure to follow these rules may result in the suspension or termination of your account.

6. Mentorship Services

Mentors on the platform are independent contractors and are not employees or agents of LocalBee LLC. LocalBee provides the platform for mentors and mentees to connect but does not control or supervise the services offered by mentors. We do not endorse, verify, or guarantee the qualifications or abilities of any mentor.

7. Payment Terms

LocalBee does not charge subscription fees for the use of the platform. Mentees pay only for the services they choose to receive from mentors. Payment is processed through a third-party payment processor, and you agree to comply with the terms and conditions of that processor.

8. Cancellations and Refunds

• • Mentees: Cancel ≥ 12 hours before a session for a full refund; within 12 hours is at the mentor’s discretion.
• • Mentors: Notify mentees promptly if cancelling; mentee receives full refund if mentor cancels.

9. Intellectual Property

All platform content (text, graphics, logos, images, software) belongs to LocalBee LLC or licensors. No reproduction, modification, or distribution is allowed without written permission.

Mentors and mentees retain IP rights for their own content but grant LocalBee LLC a non-exclusive, worldwide, royalty-free license to use their content within the platform.

10. Privacy Policy

Your use of the platform is governed by our Privacy Policy. By using the platform, you agree to the collection and use of your information as described in the Privacy Policy.

11. Limitation of Liability

To the fullest extent permitted by law, LocalBee LLC and affiliates are not liable for indirect, incidental, special, or consequential damages.

You acknowledge that your use of the platform is at your sole risk, and LocalBee provides the platform “as is” without any warranties of any kind, express or implied.

12. Indemnification

You agree to indemnify and hold harmless LocalBee LLC, its affiliates, and staff from any claims arising from:

• Your violation of these Terms.
• Your use of the platform.
• Disputes between mentors and mentees.

13. Termination

We may terminate or suspend accounts for violations or other reasons, with or without notice. You may close your account anytime by contacting support.

Certain public content may remain after account termination.

14. Dispute Resolution

Disputes should first be attempted to be resolved informally with LocalBee LLC. If unresolved, arbitration will be conducted under the laws of Texas, United States of America.

15. Changes to Terms

We may update these Terms anytime, with notice via platform or email. Continued use of the platform after changes means acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of Texas, United States of America, without conflict-of-law principles.
